1. Structure & Scope
1.1 These Terms and Conditions apply to all orders placed online through our Website for goods (including RFID cards, tags and key fobs) and associated services.
1.2 Section A applies to all website users and customers.
1.3 Section B applies ONLY to Consumers (individuals buying wholly or mainly for personal use).
1.4 Section C applies ONLY to Business Customers (commercial entities, installers, or trade buyers).
SECTION A: ONLINE ORDERING & GENERAL TERMS (Applies to ALL)
2. Website Use & User Accounts
2.1 To place orders, you may create an account or checkout as a guest. You are responsible for keeping your login credentials secure.
2.2 We reserve the right to suspend or close accounts if we suspect fraudulent activity or a breach of these Terms.
3. Order Process & Contract Formation
3.1 Displays of products on our Website constitute an "invitation to treat." Your online order is an offer to purchase.
3.2 Order Acknowledgement: Upon placing an order, you will receive an automated email acknowledging receipt. This email does not constitute acceptance of your order.
3.3 Contract Formation: A binding contract is formed only when we send a formal Dispatch Confirmation Email (or Service Confirmation Email).
3.4 We reserve the right to decline or cancel any order prior to dispatch due to out-of-stock items, pricing errors, failed payment authorization, or suspected fraud.
4. Pricing, VAT & Payment
4.1 Prices are displayed in GBP (£) and state whether VAT is included or excluded at checkout.
4.2 Pricing Errors: If a product is accidentally listed at an incorrect price, we will contact you to confirm if you wish to proceed at the correct price or cancel the order for a full refund.
4.3 Payment must be made at checkout via our authorised payment gateway (SQUARE). Orders will not be dispatched until payment clears.
5. Delivery & Shipping
5.1 Shipping costs and estimated delivery times are calculated at checkout based on your selected delivery method.
5.2 Delivery dates are estimates only. We are not liable for reasonable delivery delays caused by courier services or customs processing.
5.3 Risk of damage or loss passes to you upon delivery to the specified address (or delivery to a designated safe place/carrier chosen by you).
SECTION B: CONSUMER E-COMMERCE TERMS (B2C ONLY)
Nothing in this section limits your non-excludable statutory rights under the Consumer Rights Act 2015 or Consumer Contracts Regulations 2013.
6. Statutory Right to Cancel (14-Day Online Cooling-Off Period)
6.1 The Right: As an online consumer, you have the legal right to cancel your order within 14 calendar days without giving any reason.
6.2 The Time Period:

For Goods: Begins the day after you (or a third party designated by you) receive physical possession of the items.

For Services: Begins the day after the contract is formed.
6.3 Exclusions from Cancellation: The right to cancel does NOT apply to:

Custom or Personalised Goods: (e.g., custom-encoded RFID tags, custom-printed access cards, or tailored security credentials).

Unsealed Software or Digital Data: If unsealed after delivery.
6.4 How to Cancel: You must submit a clear written request via our contact form prior to the expiration of the 14-day window.
7. Consumer Returns & Refunds
7.1 You must return the items to us without undue delay and within 14 calendar days of notifying us of your cancellation.
7.2 Return Shipping Costs: You are responsible for paying direct return shipping costs unless the goods were sent in error or are faulty. We recommend using a tracked service.
7.3 Deductions: We reserve the right to reduce your refund if goods show signs of handling beyond what is necessary to establish their nature, characteristics, and functioning (e.g., damaged packaging, missing items, broken manufacturers seals).
7.4 Refund Processing: Refunds will be issued using your original payment method within 14 days of receiving the returned goods (or proof of return shipping).
8. Faulty or Damaged Goods
8.1 If your items arrive faulty, damaged, or do not match their online description:

Within 30 Days: You are entitled to an immediate full refund or replacement.

Within 6 Months: We will repair or replace the faulty item. If repair or replacement is unsuccessful, you may request a full or partial refund.
SECTION C: COMMERCIAL & B2B E-COMMERCE TERMS (B2B ONLY)
9. Business Orders & Customisation
9.1 Orders placed using a commercial email address, business billing address, or business account will be classified as B2B transactions.
9.2 B2B orders do not carry a 14-day "cooling-off" period. Once an order is confirmed or dispatched, B2B sales are final unless agreed otherwise in writing.
10. B2B Inspection, Retention of Title & Liability
10.1 Inspection: Business Customers must inspect deliveries immediately. Any shortages, visible damages, or order discrepancies must be reported in writing within 3 business days of delivery.
10.2 Retention of Title: Title and ownership of physical goods remain with us until payment in full has cleared for all items supplied.
10.3 Limitation of Liability:

Our total liability for any claim arising from a B2B order shall not exceed 100% of the purchase price paid for that specific order.

We exclude all liability for indirect or consequential losses, including loss of profit, business interruption, loss of data, or security failure liabilities.
11. PAYMENT:
11.1 Payment Due: All orders and invoices are due with order or within the specified terms agreed at checkout.
11.2 Reversed Payments & Charge backs: If a payment is reversed, disputed, or charged back, the customer remains liable for the full principal amount plus an administrative recovery fee.
11.3 Late Payment Interest: Any unpaid balance after the due date shall accrue interest at the rate of 8% above Bank of Englands prevailing base rate (or the maximum rate permitted by law) calculated daily from the date the payment became due until paid in full.
SECTION D: LEGAL & GOVERNING LAW
12. Electronic Communications & Data
12.1 By using our Website, you agree to receive contract details and tax invoices electronically via email.
12.2 Personal information provided during checkout is processed in accordance with our Privacy Policy and UK GDPR regulations.
13. Applicable Law
13.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
13.2 Any legal disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales (though consumers residing in Scotland or Northern Ireland retain statutory rights to bring actions in their local courts).
